Terms of Service
These terms apply to work performed by Rosano Web for our clients. They're written in plain English. Once we send a quote and you accept it (by email or e-signature), these terms apply along with anything specific to that quote.
Scope of work and quotes
Every project starts with a written quote that describes what we'll build, what's included, and the fixed price. Anything not listed in the quote — new pages, added features, extra rounds of revisions — is out of scope and will be quoted separately before we start on it.
Payment
Website projects are billed 50% up front and 50% on completion, unless otherwise stated in the quote. Invoices are due within 14 days. Late payment may pause work until the account is current.
Revisions
Each phase of a project includes a reasonable number of revision rounds, spelled out in the quote. Further rounds are billed at our current hourly rate, which we'll quote before doing the work.
Client-provided content
Copy, images, and other content you supply are your responsibility. You confirm that you have the right to use anything you send us, and you'll indemnify Rosano Web against claims related to that content.
Intellectual property
On final payment, ownership of the custom code, designs, and content we produce for your project transfers to you. We retain the right to use non-confidential elements of the work in our portfolio and case studies. Third-party licenses (fonts, stock images, plugins) remain governed by their own terms.
Maintenance plans
Maintenance plans are billed monthly in advance. You can cancel any time with 15 days' written notice; we'll finish out the current billing period. Maintenance hours do not roll over month to month.
Limitation of liability
We do good work and stand behind it, but to the fullest extent allowed by law, our total liability for any project is limited to the fees you paid us for that project. We are not liable for indirect, incidental, or consequential damages (lost revenue, lost data, etc.).
Governing law
These terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Beaufort County, South Carolina.
